Legal
Terms of Service
Effective: 17 October 2026
These terms are a contract between you and Odd Parity Ltd, a private limited company registered in England and Wales (company number 17522699, registered office 124 City Road, London EC1V 2NX). We trade as CLUX at clux.io. "We", "us" and "CLUX" mean Odd Parity Ltd. "You" means the person or organization using CLUX.
By creating an account, buying anything, or using clux.io, you agree to these terms, our Privacy Policy and our Refund Policy. If you use CLUX for a company, you confirm you can bind that company, and "you" includes it.
If you are a consumer (using CLUX for purposes outside your trade, business or profession), nothing in these terms takes away rights you have under UK law that cannot be excluded, including under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013. Where these terms and those rights conflict, the law wins.
1. What CLUX is
CLUX evaluates the user experience of command-line tools. You paste a command's input and output (a "transcript"); CLUX sends it, with our evaluation rubric, to a large language model and returns a graded report with evidence quotes.
Reports are an opinion from an AI model, and they can be wrong. A grade may be too harsh or too kind; a quoted "fix" may not apply to your tool; the model may misread output. Each finding quotes the evidence it relied on. Check the evidence before you act on a finding. We do not make automated decisions about you with legal or similarly significant effect; a report grades a CLI, not a person.
CLUX is a tool for engineers. It is not a certification, a security audit, a compliance opinion or a guarantee that a CLI works with any AI agent.
2. Accounts
- You sign in with GitHub. Authentication is handled by Clerk (see the Privacy Policy). You are responsible for your GitHub account's security and for everything done through your CLUX account.
- One account per person. Do not share an account or let anyone else use yours.
- You must be 18 or older.
- We may suspend or close an account that breaks these terms. We will tell you why unless the law stops us or doing so would help someone abuse the service.
- You can close your account at any time by emailing help@clux.io. See the Privacy Policy for what happens to your data.
3. Free tier
Every account gets 10 live evaluations, total, for free. "Live" means an evaluation that calls the model; opening a saved report or a demo report is free and does not count. The free allowance does not renew. We may change the free allowance for new accounts; we will not reduce an allowance you have already been given.
4. Credits
- One credit = one live evaluation. Prices are shown in US dollars (USD). The price you see at checkout is the total price, including any tax we must charge for where you are.
- Credits do not expire.
- A failed evaluation never uses a credit. If the model errors, times out or returns nothing usable, the credit is returned automatically. If you believe a credit was taken for a failed evaluation, email help@clux.io and we will put it back.
- Credits are for your account's use. They cannot be transferred, resold or exchanged for cash, except as the Refund Policy says.
- Credits attach to the account that bought them.
- Paying. Where card checkout is offered, credits and the founding program are paid by card on Stripe's checkout page, and Stripe's Onelink service is the seller of record for that payment: it adds any sales tax or VAT, emails your receipt and answers payment questions, and your card statement shows LINK.COM* CLUX. We never see or store your card number. What you get, and our refund promises, are set by these terms and the Refund Policy. Where it isn't, or if you would rather pay by bank transfer, email help@clux.io and we will invoice you.
5. Founding program
The founding program is a limited offer for the first 50 people who join.
- Price: $99 per person, per year, in US dollars (USD). One person per place. Places are not shared, pooled or transferred.
- What you get: 100 live evaluations a year, counted from the day you join; every paid feature as it ships; early access to Team features; and a direct line to us.
- Your price is locked for two years: the year you join and one renewal at $99 USD. After that, membership renews at the Pro price shown on the pricing page at the time, unless you cancel.
- Renewals. Membership renews yearly on the anniversary of the day you joined. We will email the address on your account at least 30 days before each renewal, saying the price and how to cancel. You can cancel at any time from your account page or by emailing help@clux.io; cancellation takes effect at the end of the paid year, and you keep what you have paid for until then.
- Refunds for the founding program are in the Refund Policy.
5A. Pro plan (not yet available)
Pro is not on sale yet. When it launches it will cost $19 USD a month for 30 live evaluations a month, renewing monthly until you cancel. We will add the full Pro terms to this page before Pro goes on sale.
6. The agent-readiness audit
The audit is a one-off, done-for-you review of a whole CLI, priced at $750 USD. It is a separate contract, confirmed by email or an order form, and these terms apply to it with the following additions.
What we deliver. A written report with ten ranked fixes, each naming the file, the line, the change and the check it satisfies; a style guide for your CLI, written or proposed; and your ruleset loaded into CLUX so new commands are checked against it. The current scope description on the audit page at the time you order is part of the contract.
How we work. We read your source and run read-only probes: --help, one unknown flag and one unknown subcommand, in a sandbox with no credentials. We never run a command that writes, sends or deletes. A CLI that needs a running service needs a scratch host from you. You confirm you have the right to give us the source and that it contains no secrets we have not been told about.
One re-check. The price includes one re-check of the fixes within one month of delivery.
The guarantee: fewer than five concrete fixes, no charge. If the delivered report contains fewer than five concrete fixes, you owe nothing. A "concrete fix" is a change you can make without us: the file, the line, what to change and the check it satisfies. The count is of distinct fixes in the delivered report, not of findings you agree with. See the Refund Policy for how the guarantee is applied.
Payment. By Stripe invoice or bank transfer, due on delivery of the report.
Confidentiality. We keep your source and the report confidential, use them only to deliver the audit, and delete our copy of your source within 30 days after the re-check window closes, unless you ask us to keep it. Nothing from your audit goes into the public product, the rubric or any marketing without your written permission.
7. Acceptable use
Do not:
- Paste credentials. CLUX automatically replaces known secret patterns (API keys, private keys, tokens, URL passwords, email addresses) with labels before anything else reads the text, and the originals are never kept. That is a safety net, not a promise: it cannot know every format. You must not paste passwords, keys, tokens or other secrets, and you are responsible for anything you paste.
- Paste content you have no right to share, including another person's private data or a third party's confidential output.
- Use CLUX to build a competing evaluation product, or extract, reproduce or redistribute our rubric, prompts or scoring.
- Scrape, crawl or bulk-download clux.io, or access it by any automated means other than the interfaces we publish.
- Resell, sublicense or share access or credits as a service to others. Running CLUX on your own account for a client and handing them the report is fine.
- Try to break rate limits, bot checks or billing, or to get around the free allowance with multiple accounts.
- Use CLUX for anything unlawful, or to harm, harass or deceive anyone.
We may rate-limit, suspend or close an account that breaks this section. If we close an account for a breach, we refund unused credits, less any loss or cost the breach caused us that we can show. We do not refund the founding price for the year in which the breach happened if the breach was serious (for example, reselling access or trying to defeat billing).
8. Your content and ours
Your content stays yours. You keep every right in what you paste, your source, your rulesets and your style guides. You give us a limited license to store, process, redact and send your content to our model provider only to run the service for you, and to show your reports back to you. That license ends when the content is deleted.
Reports. We own the report format, the rubric, the scoring and the prompts. We license the reports we generate for you to use, copy, share and publish however you like, with or without credit to CLUX.
Shared links. If you create a share link for a report, anyone with the link can read it, including the transcript as you entered it (after secret redaction). Share links expire after 180 days.
Feedback. If you send us suggestions, we may use them without owing you anything.
Our product. CLUX, its rubric, prompts, scoring, design and code are ours or our licensors'. These terms give you no right to any of them beyond using the service.
9. AI processing and your data
- Every live evaluation sends your redacted transcript to Anthropic, PBC (United States) under Anthropic's commercial terms. Anthropic may not train models on content sent through its API (Anthropic Commercial Terms, section B: https://www.anthropic.com/legal/commercial-terms) and deletes API inputs and outputs within 30 days (https://privacy.claude.com/en/articles/7996866-how-long-do-you-store-personal-data), unless it must keep them to enforce its policies (both as published by Anthropic at the date at the top of this page).
- When you give no help text, CLUX looks up the command's public documentation by searching the web through Anthropic's search tool; the command name is what is searched for, never your transcript.
- If we ever use a second model provider, we will name it in the Privacy Policy before any transcript goes to it.
- We store your reports so you can open them again. The Privacy Policy says where, for how long and how to delete them.
- We do not use your transcripts to train models.
10. Availability and changes to the service
CLUX is provided as it is today, without a service-level commitment. We may change, add or remove features. If we discontinue the paid service we will give at least 30 days' notice and refund unused credits and the unused part of any founding membership.
We depend on third parties (our model provider, hosting, authentication, payments). If one of them is down, CLUX may be too; a failed evaluation never costs a credit.
11. Warranties
Other than what these terms say expressly, CLUX is provided "as is" and we make no other promises about it: not that reports are accurate, complete or fit for any purpose, not that the service will be uninterrupted or error-free.
Consumers: this does not limit your statutory rights, including the right under the Consumer Rights Act 2015 for digital content to be of satisfactory quality, fit for purpose and as described, and for services to be performed with reasonable care and skill.
12. Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or anything else that the law does not allow us to limit (Unfair Contract Terms Act 1977, section 2(1); Consumer Rights Act 2015, sections 31, 47 and 57).
Subject to that:
- We are not liable for any loss that was not a foreseeable result of our breaking these terms. For business customers, we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
- We are not liable for decisions you make based on a report. The report is an opinion; you check the evidence.
- We are not liable for secrets you paste that our redaction did not catch, or for content you had no right to share.
- Business customers: our total liability to you for everything arising out of the service in any 12-month period is capped at the greater of (a) the amount you paid us in that period and (b) $100 USD. For an audit, the cap is the audit fee.
If you are a consumer, the business-customer exclusions and the cap above do not apply to you. We are liable to you for foreseeable loss caused by our breach of these terms or our failure to use reasonable care and skill, and we do not limit that liability to less than the price you paid us. Nothing here affects your statutory rights.
13. Indemnity (business customers only)
If you use CLUX for a business, you will cover us for claims by third parties that arise from content you pasted or gave us for an audit without the right to do so, or from your breach of section 7.
14. Ending the contract
You can stop using CLUX at any time. We can end these terms with you on 30 days' notice; if we do, we refund unused credits and the unused part of any founding membership. We can end them immediately for a serious breach of section 7. On ending, sections 8, 11, 12, 13, 15 and 16 continue.
15. Changes to these terms
We may change these terms for one of these reasons: a change in the law or regulation; a new or changed feature; a price change; a security or abuse problem; or to make the terms clearer. For a material change we will email the address on your account at least 30 days before it takes effect and post the new date at the top of this page. If you do not accept the change, you can close your account before it takes effect and we will refund unused credits and the unused part of any founding membership under the Refund Policy. If you keep using CLUX after the change, it applies to you.
16. Governing law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also bring a claim in the courts of the country you live in, and you keep any protection of that country's mandatory consumer law.
If you have a problem, email help@clux.io first; most issues are a misread report or a lost credit and we aim to fix those within a business day.
17. Other terms
- These terms, the Privacy Policy, the Refund Policy and any audit order form are the whole agreement between us. If you are a consumer, anything we tell you about the service before you buy, on clux.io or in writing, is also part of it.
- If a court finds part of these terms unenforceable, the rest still applies.
- We may transfer this contract to a buyer of the business. We will tell you if that happens, and your rights under these terms will not be reduced.
- Nobody else has rights under this contract (Contracts (Rights of Third Parties) Act 1999 does not apply).
- Notices to us: help@clux.io. Notices to you: the email on your Clerk account.
